    The court refused the respondents' interim and substantive stay applications and dismissed the stay summons. It held that the complaints concerning exclusion from management and the Makdessi dispute did not fall within the exclusive jurisdiction clauses, while the dividends complaint fell within the SPA jurisdiction clause only against Cavendish. The jurisdiction clauses could not fetter the petitioner's statutory right to present an unfair-prejudice petition, and the court ordered nisi costs in favour of the petitioner with a certificate for two counsel.
